Are you a highly organised individual with a passion for governance and compliance? We are seeking a dedicated Company Secretary to join our dynamic team based in Conwy, North Wales!

Job Title: Company Secretary Location: ConwySalary: £50,000Job Type: Full time, Permanent

In this pivotal role, you will lead the delivery of comprehensive administration and governance advice services. You will ensure compliance with governing documents, obligations, regulatory and statutory governance standards, and other relevant corporate policies and procedures.

This is an exciting opportunity to work collaboratively with senior leadership and manage complex governance activities.

Your role will be vital in ensuring statutory and regulatory compliance, including submissions to the Financial Conduct Authority, Welsh Government, and Companies House. You will also advise and guide Board & Committee members on their roles & responsibilities, manage and supervise Governance Officers, and maintain high-quality governance records and registers.

Day to Day of the role:
  • Lead the annual planning and implementation of the Board & Committees Calendar of Meetings, including approximately 40 meetings per annum.
  • Manage all Board, Subsidiary, and Committee meetings, ensuring efficient operation and compliance.
  • Prepare and present reports on governance-related matters to the Board, Committees, and Executive Leadership Team (ELT).
  • Coordinate and implement additional Board and Committee activities such as strategy days, workshops, and urgent decisions.
  • Ensure statutory and regulatory compliance, including submissions to the Financial Conduct Authority, Welsh Government, and Companies House.
  • Advise and guide Board & Committee members on their roles & responsibilities.
  • Manage and supervise Governance Officers, providing support and technical guidance.
  • Maintain high-quality governance records and registers, ensuring accuracy and compliance.

Required Skills & Qualifications:

  • English GCSE grade C or above (or equivalent).
  • Experience working within established guidelines and maintaining confidentiality.
  • Proven ability to manage a busy workload and meet deadlines.
  • Experience providing administrative support and technical guidance to Executives, Board members, and Senior Management.
  • Intermediate knowledge of Microsoft Word and basic knowledge of Excel and PowerPoint 2010.
  • Effective minute-taking skills and excellent organisational skills.
  • Strong communication, relationship management, and customer service skills.
