Legal Counsel / Contracts Manager

The role

Commercial:

  • Drafting, reviewing and negotiating commercial contracts including customer and supplier agreements, terms and conditions, long term agreements, heads of terms and non-disclosure agreements.
  • Supporting the sales and purchase teams on tenders, contract negotiations and contract management.
  • Advising on potential disputes.

Other legal:

  • Involvement as required in a variety of other legal areas, including property/lease matters, trusts, environmental queries and intellectual property.
  • Assisting on the development of Company precedents and policies.
  • Advising on compliance with legal and regulatory requirements.
  • Interpreting and advising on relevant new legislation in all areas.

Company Secretarial:

  • Support to company secretarial function including share transfers and corporate filings at Companies House.
  • Assistance with draft Board and Management agendas and minutes.
  • Assistance with organising and running of the AGM

Requirements

  • The main focus is finding a commercial legal professional, so the company is open to hiring either a qualified solicitor, an experienced paralegal or contracts manager.
  • Experience of UK export control and licensing issues a bonus but not essential.
  • Commercial awareness and ability to make sound judgements on contract issues and level of acceptable risk.
  • Excellent relationship management skills with the ability to engage effectively with key stakeholders, customers, and suppliers.
  • Confident negotiator with the ability to negotiate at all levels.
