Positive Employment is currently recruiting for a Company Secretary for our client a local government organisation in Bournemouth.
The successful candidate will lead, develop and embed processes and systems within the organisation's companies to ensure statutory compliance with the Companies Act 2006 and ensure there are appropriate links and strong relationships with Officers, Directors and Shareholders across a range of activity to ensure consistency and good practice in the delivery of the company objectives and business plans.
This role is initially a 3 month contract with the possibility to extend. This role is hybrid working.
Duties and Responsibilities but not limited to:
- Advise the company directors on company law and financial regulations.
- Keep under review legislative, regulatory and governance issues which may impact the companies and ensures that the Board is effectively briefed on them and the companies remain compliant.
- Advise the Chair of each Board and the Director of Housing on issues of concern or conflicts of interest.
- Oversee and ensure action on all legal, regulatory and compliance issues.
- Support the Chairs of the Boards and their Boards in the achievement of company strategic objectives.
- Ensure the effective and smooth operation of the companies’ decision making, reporting, budgetary and recharging mechanisms, as part of their formal administration of affairs.
- Review and advise on company contracts e.g. SLAs.
- Co-ordinate and file the appropriate forms with Companies House to record any company changes to ensure compliance with Companies Act 2006.
- Monitor changes in relevant legislation and the regulatory environment and take action accordingly.
- Oversee the annual reporting of performance to shareholders.
- Ensure that the companies’ business is conducted with probity, accountability, and in accordance with national standards and regulations and establish and monitor procedures to ensure compliance.
- Be an independent and impartial arbiter to the Board, particularly where challenging issues require resolution.
- Oversee and co-ordinate the appointment to, and removal from office, of Directors.
Personal Requirements:
- A degree in a relevant subject such as business, law, accountancy, public administration.
- Good knowledge of the Companies Act 2006.
- Good knowledge of ICT including Excel, Word, Outlook.
- Professional competence in being able to take the lead on company secretary responsibilities including the business administration and governance of companies.
- A diplomatic, respectful approach and the confidence to provide support to high-profile company staff and board members.
- A Basic DBS check (upon successful recruitment).
Working Hours: 37hrs / 8:30am - 17:00pm / Monday to Friday
Pay: £55.00 - £60.00 per hr
