Venn Group are currently working with an NHS organisation in the South West, who are seeking a Trust Secretary to be responsible for ensuring systems are in place to ensure Trust Board compliance with all regulatory standards and legislation in its capacity.

Main duties of the job:

  • Plan, arrange and produce agendas and the subsequent minutes for meetings of the Board of Directors, and its sub-committees, ensuring that papers are produced and circulated within the required timescales and ensure that any actions are followed up
  • Where necessary produce, or assist in the production of, reports
  • Consult with the Board of Directors, develop an annual Board programme and Board development activities
  • Produce the required Board statements on compliance, as part of the Annual Plan process, for approval by the Board
  • Advise the Board of Directors and the Council of Governors on their statutory responsibilities and to act as a key contact point for Non-Executive Directors
  • Ensure that proper and effective systems and processes are in place for the filing and retrieval of the Board and Board sub-committee papers and that these arrangements comply with national guidelines
  • Work closely with the Chief Finance Officer in supporting the work of the Audit Committee
  • Work closely with the Chairman in supporting the work of the Remuneration Committee
  • Ensure good information flows within the Board of Directors and its committees and between Senior Management, Non-Executive Directors and the Council of Governors

Essential Skills:

  • Degree level qualification or equivalent professional experience
  • Knowledge of corporate governance legislation and best practice
  • Understands roles and relationships between Chairman, Chief Executive, Executive and Non-Executive Directors and Council of Governors
  • Experience in producing Board papers
