Venn Group are currently working with a Local Authority in the South West, who are seeking a Company Secretary to develop and implement processes to promote and sustain excellent corporate governance.

Main duties of the job:

  • Advise the company directors on company law and financial regulations
  • Advise the Chair of each Board and the Director of Housing on issues of concern or conflicts of interest
  • Oversee and ensure action on all legal, regulatory and compliance issues
  • Ensure the effective and smooth operation of the companies’ decision making, reporting, budgetary and recharging mechanisms, as part of their formal administration of affairs.
  • Review and advise on company contracts e.g. SLAs
  • Co-ordinate and file the appropriate forms with Companies House to record any company changes to ensure compliance with Companies Act 2006
  • Monitor changes in relevant legislation and the regulatory environment and take action accordingly
  • Oversee the annual reporting of performance to shareholders
  • In partnership with the Chairs of the Board plan, arrange and produce agendas, reports, and the subsequent minutes for meetings of the Board of Directors and Board Committees
  • Ensure that meetings of the Board of Directors and any committees run effectively, and that proceedings and resolutions are properly recorded
  • Review Standing Orders and the Schedule of Reserved Matters for the Board as required but at least on an annual basis

Essential Skills:

  • A degree in a relevant subject such as business, law, accountancy, public administration 
  • Good knowledge of the Companies Act 2006
  • DBS Basic check
