As Group Company Secretary, you will ensure the company complies with all legal and regulatory requirements as well as ensuring smooth and accurate information flow between all group entities.
They can offer flexible working with 3 days office and 2 days home.

Duties and Responsibilities
- Ensuring compliance with legal and regulatory requirements, including maintaining up-to-date statutory registers and ensuring compliance with filing obligations.
- Developing and updating internal corporate governance and compliance policies and procedures (e.g. money laundering, anti-bribery, data protection, business continuity etc.) as well as providing advice and guidance to business units on the implications of business decisions on corporate governance and regulatory matters.
- Providing guidance on the implementation of corporate transactions and group restructurings and their effect on corporate governance and company secretarial matters.
- Supporting the boards of directors and board committees through the drafting of board papers and packs, the taking of minutes at board and shareholder meetings, and assisting generally with board and committee meeting administration.
- Convening and providing administration for annual general meetings providing legal, financial and/or strategic advice during and outside of meetings.
- Advising directors and members of the senior leadership team on corporate governance matters.
- Keeping up to date with regulatory or statutory changes and policies that might affect the organisation.
- Ensuring that policies are up to date and are approved.
- Communicating with external professionals involved in corporate governance, such as auditors.
- Implementing processes or systems to help ensure good management of the organisation or compliance with legislation.
Essential qualifications
- Qualified company secretary (ICSA) or appropriate legal qualifications.
- Be able to showcase your positive influence and experience of providing company secretarial and corporate governance support to legal entities, boards and committees.
- Risk and compliance experience.
