Company Secretary - 6 month Fixed Term Contract - Don't apply if you have a notice period of over one month
Are you a highly effective and commercially minded Company Secretary with experience in leading the internally facing Corporate Secretariat, particularly within an international law firm. A senior manager in central management? You will be a trusted advisor to the Board whilst working closely with the C-Suite to support on the delivery of firm's strategic objectives as well as providing expert advice on corporate governance and best practice. Your expertise as a Company Secretary is in delivering consistent, high quality service for the company, achieved by building and maintaining strong relationships within key stakeholders.

Ensure the firm complies with all statutory and regulatory requirements, e.g. Companies House filings, SRA registration and the execution of deeds, leases and guarantees. ?
Main Responsibilities for the Company secretary:
Ensure that the firm’s constitutional processes and procedures are followed.?
Support the Board, IEC and Audit Committee to ensure agendas are agreed in advance, papers prepared and circulated to the appropriate people, minutes are recorded and actions are progressed in a timely manner. ?
Maintain the Annual Planner to ensure key events are scheduled in advance and sequenced to avoid any unnecessary conflicts.?
Provide support and guidance to new partners (internal promotes and lateral hires) particularly around their obligations in respect of the terms set out in the Members Agreement. ?
Organise the Partners meeting ensuring agendas are finalised, papers circulated and minutes recorded.
Likely to be an experienced Company Secretary who is ICSA qualified and ideally educated to degree level.?
Good understanding of company secretarial regulations.?
Detailed understanding of how partnerships operate and the terms contained in a Members Agreement.?
Well organised, meticulous and thorough but able to navigate the nuances of working in a partnership.?
Good interpersonal skills with the ability to converse with senior leaders in the firm and external regulatory bodies.?

London office based, ideally 2/3 days in the office however we can be flexible on this for the right candidate
