Company Secretarial Transactions Manager MC 05 02 2025

We are recruiting on behalf of a leading global financial services provider for a Company Secretarial Transactions Manager. This role offers you an exciting opportunity to manage a portfolio of structured finance and securitisation transactions, providing essential corporate secretarial and governance support. Reporting to the governance and transaction management team leader, you will work closely with internal and external stakeholders to ensure compliance, governance and efficient transaction execution.

Key Responsibilities

Transaction Management:

  • Manage a portfolio of structured finance transactions across various asset classes, including CMBS, RMBS, CLOs and consumer credit
  • Coordinate with clients and key stakeholders, ensuring seamless transaction execution
  • Draft and review transaction-related documents, agreements and governance records
  • Ensure compliance with internal processes and regulatory requirements

Corporate Secretarial Services:

  • Oversee company secretarial obligations for allocated SPVs
  • Organise and prepare board meetings, ensuring proper documentation and governance
  • Maintain legal standing of SPVs throughout their lifecycle

Compliance & Business Development:

  • Monitor transactions to ensure compliance with relevant regulations
  • Maintain and develop client and intermediary relationships
  • Support business development initiatives and participate in client meetings

Key Skills & Requirements

  • Minimum two years’ experience in structured finance
  • Legal degree or relevant qualification preferred
  • Strong knowledge of corporate governance and regulatory requirements
  • Excellent organisational, analytical and communication skills
  • Ability to manage multiple transactions in a fast-paced environment
