My client is seeking a Company Secretary/Head of Legal to join their not-for-profit organisation in Burgess Hill, West Sussex or York, Yorkshire. Only 1 day of office presence per week is required.

They are one of the largest charities in the UK and have exciting upcoming projects planned.

Main Purpose

As the Company Secretary for the charity to ensure that the charity complies with statutory, regulatory and charity commission requirements. To be responsible for ensuring a robust governance and compliance structure; to oversee the management of corporate risk; and oversee all legal matters within the organisation and contribute to the successful delivery of strategic objectives by offering pragmatic and sound legal perspectives on key business decisions.

To be the DPO for the organisation (and its subsidiary); to lead and develop a high performing legal services and corporate governance team, providing compliance, data management, company secretarial, information governance, data protection and health and safety services.

Responsibilities

• Facilitate good corporate governance practices by advising the board on their roles, responsibilities, and legal obligations.• Provide Company Secretarial services to the Board and board committees, ensuring that meetings are properly conducted, minutes accurately recorded and all statutory, legislative, and procedural obligations relating to governance are fulfilled. • Provide sound and pragmatic legal advice to the executive team and the trustee board in a cost-effective manner.• Draft, review, and negotiate contracts and agreements to protect the organisation's legal interests.• Co-ordinate and manage the approach to risk and ensure that the legal, commercial, and reputational interests of the organisation are adequately protected.• Ensure that obligations under UK data protection legislation and GDPR (and when relevant EU GDPR) are met.

Requirements

• Qualified Solicitor or Barrister with minimum of 5 years post qualification experience with proven experience in a similar role • Solid understanding and experience of legislation, governance requirements and best practice ideally within a Health & Social Care setting and the compliance needs of a charity. • Demonstrated career record of being accountable for regulatory, governance and legal activities and reporting associated to role• Strong interpersonal skills - able to develop strong relationships and work well internal and external clients, colleagues, board members and service providers
