Role Overview:The paralegal will be an important member of the team.

The paralegal's key tasks will relate to the review, drafting and negotiation of non-disclosure agreements, reliance/release letters and other similar documents, in the context of both front-office transactions and joint ventures. The paralegal will also work closely with other Legal Group members and group stakeholders to proactively support the efficient execution of such documentation in accordance with internal requirements and policies and external regulations in order to manage legal risk.

In addition to the above key tasks, the paralegal will also assist members of the Legal team with other transactional matters or projects as required from time to time, this may include reviewing of legal opinion, powers of attorney, conditions precedent documentation and corporate/ transactional document, having recourse to appropriate internal processes and procedures and senior members of the legal team.

What you will be doing:

  • Reviewing non-disclosure agreements, reliance/release letters and other related transactional documents to ensure that these meet the Bank's requirements and assisting front office EMEA in agreeing such documents as efficiently as possible.
  • Reviewing other documents routinely referred. legal opinions to ensure conformity with relevant guidance.
  • Assisting members as required on transactional/project work, subject to capacity.
  • Ensure that company policy is followed in legal matters.
  • Be proactive to raise and escalate important legal issues and risks with relevant level of management.
  • Proactively contribute to the development of the Bank and actively work for the elimination of legal risk.
  • Develop an understanding of the Bank's commercial operations and policies.
  • Assist stakeholders to understand applicable legal risks.
  • Manage legal risk in accordance with the constantly changing regulatory requirements which apply to financial institutions.
  • Work at a fast pace across a broad range of tasks.

What We're Looking For:

The person should have a degree in law and/or relevant paralegal experience, ideally from a reputable law firm, bank, financial institution or corporate, as well as strong interpersonal skills.

Experience in transactional banking, leveraged finance, fund finance and finance/corporate work and review of non-disclosure agreements, reliance/release letters, POAs, corporate authorisations, legal opinions and related documents would be particularly helpful.

The person will be liaising with the legal team and front office teams, supporting London, Ireland, Paris and Germany teams.
