Job Description

This is a broad and varied support role focusing on the drafting, negotiation and reviewing of legal documentation and otherwise supporting the work of the Legal & Compliance Department. The Documentation Analyst will report to the Head of Legal & Compliance.Key duties include:

  • Drafting, reviewing and negotiating different types of contracts including, without limitation, the following:

(a)master trading agreements relating to OTC and exchange-traded derivatives e.g. ISDA Master Agreements and related collateral agreements, terms of business agreements and novation agreements;

(b)guarantees;

(c)confidentiality and non-disclosure agreements;

(d)IT, service level and software licence and development agreements and terms and conditions; and

(e)data licence agreements.

  • Drafting of formal letters to clients and counterparties relating to e.g. specific product terms or fees and charges.
  • Drafting of legal documentation relating to the administration of the company, such as resolutions of the board of directors.
  • Draft policies and procedures designed to ensure compliance with legal and/or regulatory requirements.
  • Responding to internal and external queries relating to the above type of agreements/documents.
  • General project work, including regulatory change projects and new product development.
  • Liaising with parent company in Tokyo and overseas subsidiaries on legal documentation.
  • Preparing and proofreading documents for execution.
  • Sending out template agreements and documentation.
  • Maintaining and updating databases.
  • Updating other departments on concluded documentation.
  • Ad hoc research into laws and regulatory requirements.
  • Preparing presentations and training on legal and regulatory requirements for the directors and other staff.
  • Carrying out various other administrative/support tasks to assist with the smooth operation of the department.

The amount of time spent on each of the above duties varies and there may be time periods when there is an heavy emphasis on one or a small number of them.

Person Specification

  • At least 3 years of previous experience of working in a similar role focusing on the drafting of legal documentation relating to financial products.
  • Financial services (Regulated environment) experience would be advantageous.
  • Excellent legal drafting and general writing skills and a very strong attention to detail.
  • Ability to think logically and quickly grasp how documentation architecture works.
  • Passion for documentation and legal drafting work and eager to learn from others and independently.
  • Ability to demonstrate initiative and common sense.
  • Co-operative nature and able to work both within the team and without supervision.
  • Highly organised and able to meet deadlines, especially at busy periods of the month.
  • Flexible and adaptable.
  • Punctual, well-presented, and able to communicate effectively with both staff and outside customers, in a truly-international company.
  • Excellent MS Office skills
  • A good general education, ideally a law graduate with a 2:1.
  • Language skills would be advantageous, but not essential
  • The candidate must have the right to work within the UK/EU without specific sponsorship,
