We are currently partnered with a Non-Profit Organisation who are looking to bring on a Part-Time Head of Governance. They are ideally looking to bring someone on 3-4 days a week but there is flexibility as to how this looks.

The Head of Governance will oversee the organization's governance framework, ensuring compliance with legal and statutory requirements. This role involves guiding the board and committees on their responsibilities, managing information flows, and maintaining governance documents.

Key Responsibilities:

  • Governance Guidance: Advise the chair and board on responsibilities under governance documents and regulations.
  • Board Support: Ensure all Board and Committee Chairs function efficiently and effectively.
  • Information Flow: Maintain good information flows within the board and its committees and between senior management and non-executive directors.
  • Recruitment & Induction: Facilitate recruitment and induction for new board and committee members.
  • Compliance Systems: Develop and oversee systems to ensure legal and statutory compliance.
  • Regulatory Monitoring: Monitor legislative changes and take action as necessary.
  • Administration Oversight: Oversee board meetings, prepare agendas and papers, take minutes, and ensure company filing is up to date.
  • Document Management: Ensure all governing documents are up-to-date and reviewed.

Key Skills Required:

  • Strong understanding of governance, risk, and compliance.
  • Experience with SharePoint and working with board minutes and committee meetings.
  • Experience working on an international basis.
  • Self-starter, highly structured, and process-driven.
  • Experience with Institute of Governance qualifications
  • The ability to create new documents and to update and maintain existing governance documents
