Financial services business, located in Lancashire, are seeking interim support for a short period of 1 – 3 months with the role suiting candidates who are available to start work within the next 1 – 2 weeks.  The business offers a very flexible hybrid policy with very infrequent trips to the head office.  The position will be suitable to candidates with previous experience across roles to include company secretarial, compliance, governance and / or legal and ideally with this experience gained within an FCA regulated environment.

Role Overview & PurposeTo support the Chief Risk Officer, to ensure and discharge the legal responsibilities and compliance of the firm relating to financial and legal practices, acting as a point of communication between the Board of Directors and Members. Responsible for ensuring Board procedures are followed as well as applicable statutory rules and regulations.Role responsibilities.

  • To ensure the Board and Executive are advised, and kept up to date, on their Statutory, Corporate Governance and other duties.
  • To support with the arrangement of the Annual General Meeting.
  • To be responsible for calling and minute taking of meetings, ensuring that all necessary supporting documents are available.
  • To maintain statutory books/records, including registers of members and directors.
  • To be responsible for good information flows within the Board and its Committees and between senior management and non-executive directors.
  • To deal with correspondence/notices served, collate information, write reports and ensure relevant Society decisions made are communicated to the Members.
  • To make available for inspection by Members any statutory reports.
  • To administer the Members voting rights and retain voting records.
  • To ensure all mandates/duties delegated by the Board are maintained and kept up to date.
