SJC Partners is managing the recruitment process of a Corporate Development Manager for a rapidly growing PE backed professional services group.   The successful individual will work closely with the CEO and CFO in driving the ambitious growth plans, playing a pivotal role in identifying acquisition prospects, conducting thorough due diligence and working seamlessly with solicitors and vendors to ensure efficient deal closures.   Additionally, you will support the CFO with the integration and onboarding of new firms into the group.  More specifically responsibilities will cover:  Deal Origination:
  • Identifying potential acquisition targets that align with their strategic vision.
  • Engaging with prospective targets and attending initial meetings alongside the CEO to discuss opportunities.
  Pre-Deal Investigation:
  • Gathering essential information from targets to achieve a comprehensive understanding of their business and financials.
  • Conducting high-level scrutiny based on the gathered data and raise relevant inquiries.
  • Determining a genuine pro forma EBITDA for targets to inform bids.
  Heads of Terms & Negotiation:
  • Preparing initial offers for targets, discussing the rationale and logic with the CEO.
  • Participating in negotiations and discussions to finalise an agreeable deal and pricing with the target.
  • Facilitating the seamless handover of Heads of Terms (HoT) to legal team.
  Due Diligence & Legal Matters:
  • Playing a critical role in the due diligence process, including data collation, information assessment in the data room and raising pertinent inquiries.
  • Reporting findings from due diligence to the CEO and CFO
  Deal Closure:
  • Assisting in the administration of deal completion, including the compilation of legal documents and transitioning information to the marketing team.
  Applicants should be currently operating in a corporate development/internal M&A capacity, M&A advisory team or private equity investment team with experience of end-to-end deal management.    This represent a highly desirable opportunity, ideal for an individual passionate about driving growth through strategic acquisitions with ambition to be an integral part of a dynamic leadership team.
