You will be working in a busy legal department in an administrative role primarily supporting with Contracts, Compliance, Governance and Legal requirements of the business.
Job Description:
We are seeking a dedicated and detail-oriented Compliance and Legal Assistant to provide comprehensive support to the Company Secretary. This role involves a variety of responsibilities aimed at ensuring the smooth operation of compliance, legal, and company secretarial functions across our UK and Ireland entities.
Key Responsibilities:
- Provide day-to-day compliance, legal, and company secretarial administration support to the Company Secretary.
- Assist in maintaining and updating statutory company books, records, and regulatory filings for UK and Ireland.
- Manage and file intercompany service agreements to ensure compliance with Group requirements.
- Draft board minutes, resolutions, and shareholder resolutions in accordance with statutory, regulatory, and Group procedures.
- Update and maintain corporate data in the Corporate Dataroom and the Group’s data management system.
- Assist in drafting and managing intercompany service agreements for Group UK and Ireland companies.
- Submit quarterly representation letters to Group in line with audit requirements.
- Maintain the Group’s corporate structure data management system.
- Develop a good understanding of key policies to advise stakeholders on policy and procedure queries.
- Maintain robust systems and tracking to support key tasks and responsibilities.
- Support the Company Secretary in maintaining the electronic Company Secretarial system.
- Track compliance with governance policies and targets, guiding managers and supporting education on policy content.
- Review commercial contracts.
- Respond to relevant email queries and calls.
- Conduct the S&CA project and annual Statutory Accounts filing.
- Develop knowledge of Data Protection requirements and support the Company Secretary in advising the business on key measures.
Qualifications:
- Strong organizational skills and attention to detail.
- Excellent written and verbal communication skills.
- Ability to manage multiple tasks and meet deadlines.
- Knowledge of statutory and regulatory requirements.
- Experience in a similar role is preferred.
- Proficiency in using data management systems.
Suitable candidates must have a minimum of 3 years Paralegal or Secretarial experience, have a degree in Business Law, Governance or similar and excellent IT skills.
