This role involves drafting legal documents, managing case files, conducting legal research, and coordinating with clients and stakeholders. The paralegal will play a key role in preparing for court proceedings, handling corporate filings, and facilitating real estate transactions, ensuring accuracy and compliance with applicable laws.
Key Responsibilities:
- Assist attorneys in preparing, reviewing, and filing business-related legal documents, including contracts, operating agreements, shareholder agreements, and mergers and acquisitions (M&A) documents.
- Coordinate and maintain corporate records, including company formation, governance documentation, and regulatory filings.
- Conduct legal research on business law topics such as corporate compliance, intellectual property, and contract disputes.
- Assist in the preparation of legal correspondence and communication with clients, regulatory authorities, and other external parties.
- Support attorneys in due diligence reviews for business transactions, including gathering relevant corporate documentation and conducting background checks.
- Assist in preparing for trials, hearings, and depositions by organizing case files, gathering evidence, and coordinating witness preparation.
- Draft and file litigation-related documents, including complaints, answers, motions, discovery requests, and subpoenas.

- Assist in managing case calendars, including tracking deadlines for court filings, discovery, and other case milestones.
- Organize and manage electronic discovery (e-discovery) processes, ensuring compliance with court and discovery rules
- Assist in real estate transactions, including reviewing purchase agreements, leases, loan documentation, and closing documents
- Prepare and organize title and survey reviews, ensuring accuracy and identifying potential legal issues related to real estate deals.
- Coordinate the closing process for real estate transactions, including communication with title companies, lenders, and other parties involved.
- Maintain and organize legal documents, case files, and transaction records in both physical and electronic formats.
- Communicate with clients, business partners, and stakeholders regarding case or transaction status, legal requirements, and document needs.
Qualifications:
- Bachelor’s degree in Paralegal Studies, Business, Real Estate, or a related field.
- Paralegal certification or equivalent legal training (preferred).
- 3+ years of experience as a paralegal, with a focus on business law, litigation, or real estate.
- Strong understanding of corporate transactions, business law concepts, litigation processes, and real estate law.
- Proficiency in legal research tools (e.g., Westlaw, LexisNexis) and Microsoft Office Suite (Word, Excel, Outlook).
- Experience in managing case files, discovery processes, and preparing legal documents.
