Company SecretaryLocation: Cardiff (Hybrid working available)Hours: Full-time, 35 hours per weekSalary: £30,531 - £36,412 per annumThe Opportunity: We are seeking an experienced and professional Company Secretary and Compliance Manager to join a leading charitable organisation. This critical role ensures the delivery of robust governance frameworks and compliance with statutory and regulatory requirements. You will play a central role in supporting the CEO, Senior Leadership Team, and Board of Trustees to fulfil their duties effectively. This is an excellent opportunity for a proactive, detail-oriented individual with a strong background in governance and compliance to make a meaningful impact in a respected organisation.Key Responsibilities:
  • Act as Company Secretary, providing expert governance advice to the CEO, Board of Trustees, and senior leaders.
  • Coordinate Board and committee meetings, including agenda setting, preparing papers, taking accurate minutes, and managing follow-up actions.
  • Ensure compliance with statutory obligations, including timely submissions to regulatory bodies such as Companies House and the Charity Commission.
  • Lead and manage a team including the Health, Safety and Environment Business Partner, Facilities Manager, and Project Coordinator.
  • Act as Data Protection Officer, ensuring compliance with data protection regulations and organisational policies.
  • Drive the continuous development of governance frameworks, policies, and procedures to ensure best practices.
  • Oversee induction and training programmes for Trustees and senior leaders, enhancing governance capabilities.
  • Support the COO in handling complaints, serious incidents, and lessons learned to improve organisational processes.
  • Maintain oversight of health, safety, and environmental compliance.
What We’re Looking For: We are seeking a candidate with the following skills and experience:
  • A degree or equivalent professional qualification (Desirable)
  • Chartered Governance Institute qualification (or working towards it).
  • Extensive experience in governance, including organising board meetings, preparing reports, and maintaining compliance with statutory requirements.
  • Strong knowledge of charity governance and relevant legal frameworks.
  • Excellent organisational skills, with a high level of accuracy and attention to detail.
  • Outstanding interpersonal and communication skills, with the ability to engage and influence stakeholders at all levels.
