Company Secretary

We are seeking a highly organised and detail-oriented Company Secretary to join our team. The successful candidate will be responsible for ensuring the company complies with statutory and regulatory requirements and maintaining high standards of corporate governance.

Day-to-day of the role:
  • Prepare and file Confirmation Statements.
  • Appoint and resign Directors or Persons with Significant Control (PSCs).
  • Process changes of registered office addresses.
  • Manage the incorporation process for new companies.
  • Ensure compliance with legal requirements during formation.
  • Oversee the dissolution process for companies.
  • Ensure all legal and regulatory obligations are met during closure.
  • Coordinate and manage company restructures.
  • Advise on legal and regulatory implications of restructuring activities.
  • Maintain and update statutory books and records.
  • Prepare and file annual returns and other statutory documents.
  • Organise and prepare agendas for board meetings.
  • Take minutes and ensure follow-up on action points.
  • Advise the board on corporate governance matters.
  • Liaise with shareholders, regulators, and other stakeholders.
  • Manage shareholder communications and meetings.
  • Develop and implement company policies and procedures.
Required Skills & Qualifications:
  • Proven experience as a Company Secretary or in a similar role.
  • In-depth knowledge of corporate governance and company law.
  • Excellent organizational and time-management skills.
  • Strong attention to detail and accuracy.
  • Effective communication and interpersonal skills.
  • Ability to work independently and as part of a team.
  • Proficiency in using relevant software and tools.
