The firm is dedicated to delivering practical and strategic advice, fostering long-term client relationships, and maintaining the highest professional standards.Job Summary:I am seeking a highly motivated and experienced Company and Commercial Solicitor to join this dynamic legal team. The successful candidate will play a key role in advising clients on a broad spectrum of corporate and commercial matters, ranging from business formations and mergers to drafting complex commercial contracts. This position offers an excellent opportunity for a solicitor who is looking to advance their career within a supportive and collaborative environment.Key Responsibilities:
  • Advise on the formation and structuring of companies, partnerships, and joint ventures.
  • Assist with mergers and acquisitions, disposals, restructurings, and shareholder agreements.
  • Draft, review, and negotiate a variety of commercial contracts, including supply agreements, terms of business, service agreements, NDAs, and licensing agreements.
  • Provide counsel on corporate governance, regulatory compliance, and risk management.
  • Assist clients in understanding and fulfilling their legal obligations.
  • Manage and advise on transactions such as asset sales, share sales, and business purchases. Conduct due diligence and ensure smooth transaction completion.
  • Build and maintain strong relationships with clients, providing clear and concise legal advice tailored to their business needs. Serve as a trusted advisor to a portfolio of clients.
  • Advise on and manage commercial disputes, including contract disputes, shareholder disputes, and breaches of duty.
  • Stay current on legal developments in company and commercial law, ensuring clients receive up-to-date and relevant advice.
  • Work closely with colleagues across different practice areas, contributing to a collaborative and knowledge-sharing environment.
Qualifications and Experience:
  • Qualified solicitor with 1 to 3 years of post-qualification experience (PQE) in company and commercial law.
  • Qualified in England and Wales
  • Strong expertise in corporate transactions, including mergers and acquisitions, joint ventures, and corporate finance.
  • Extensive experience in drafting and negotiating a wide range of commercial contracts.
  • Excellent understanding of corporate governance and regulatory compliance.
  • Proven ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Strong analytical and problem-solving skills with attention to detail.
  • Excellent communication and interpersonal skills, with the ability to explain complex legal concepts clearly and concisely.
  • Ability to work independently and as part of a team.
