Company SecretaryLocation - London (hybrid)Salary - £90,000 - £100,000 per annum

Our client, a leading international infrastructure business, is seeking a Company Secretary to lead and manage corporate governance, board administration, and regulatory compliance across its group companies. This is a senior and high-impact role supporting the Board of Directors and key stakeholders across a multinational organisation. The ideal candidate will bring extensive experience in corporate governance, company law, and international compliance standards.

Key Responsibilities

Board Administration:

  • Coordinate and attend board meetings for group entities.
  • Prepare and distribute board agendas, packs, and minutes.
  • Manage appointments, resignations, and removals of directors and officers.
  • Deliver governance training and onboarding for new board members.

Governance & Compliance:

  • Draft and manage legal documents including minutes, resolutions, and powers of attorney.
  • Maintain statutory registers and ensure accurate records under the Companies Act and other applicable regulations.
  • Lead statutory filings and compliance reporting obligations.
  • Act as a key liaison with external legal counsel and third parties on international governance matters.

Qualifications & Experience:

  • ICSA/CGI part-qualified or qualified, or legally qualified (preferred).
  • Significant experience in a senior company secretarial or governance role, ideally in a multinational context.
  • Strong understanding of UK company law and international governance frameworks.
  • Discreet, dependable, and adept at handling confidential information.
