An excellent opportunity has arisen for an Associate to join a highly regarded Intellectual Property team, focusing on transactional matters. You will provide advice on a broad range of non-contentious IP issues, including M&A, equity capital markets, spin-outs, investment rounds, restructurings, joint ventures, licensing, collaborations and financings. Experience in regulatory matters within a transactional context would be an advantage.

Key Responsibilities

  • Collaborate with IP and corporate teams on M&A and related transactions involving intellectual property rights
  • Conduct due diligence on targets and vendors, providing reports and strategic recommendations
  • Draft and negotiate IP provisions in deal documentation, as well as standalone IP agreements such as assignments, licences and collaboration agreements
  • Advise on IP structuring within a range of commercial contracts

You

  • Strong academic credentials
  • Solid transactional experience within a respected IP practice
  • Proven ability to manage complex IP matters within a fast-paced, international environment
  • A commercial mindset and the ability to provide pragmatic, solutions-focused advice
  • A clear understanding of how a commercial law firm operates
  • A willingness to contribute to the development of the team and firmwide strategic objectives

Technical Skills Required

  • Strong knowledge of IP law across all intellectual property rights
  • Excellent drafting skills across a variety of IP agreements
  • Ability to identify and mitigate IP risks in transactional contexts
  • Experience managing aspects of complex IP matters efficiently and effectively
  • Ability to liaise with multidisciplinary teams and international colleagues
  • Commitment to ongoing professional development and knowledge sharing within the team
  • Business development skills, including maintaining client relationships and identifying opportunities for growth
