The role will involve working closely with private equity sponsors, portfolio companies, and management teams on various complex transactions. Key Responsibilities:
  • Giving legal advice on auction and buyout processes, majority and minority investments, bolt-ons, and exits.
  • Drafting and negotiating preliminary legal documentation, including Exclusivity Agreements, Heads of Terms, Management Equity Term Sheets, and more.
  • Preparing legal Share Purchase Agreements (SPAs), Disclosure Letters, Investment Agreements, and Articles of Association.
  • Conducting legal due diligence and managing ancillary documentation.
  • Supporting the broader corporate legal practice and contributing to the firm’s legal private equity strategy.
Skills & Experience Required:
  • You MUST have experience of working in the London office of an international law firm, Magic Circle or US International "Big Law" firm.
  • Must have legal experience in multiple private equity transactions, with expertise in drafting and negotiating legal transaction documents.
  • Excellent legal technical and drafting skills.
  • UK Legal market knowledge of typical terms and structures in private equity deals.
  • Strong interpersonal and communication abilities, including presenting to stakeholders.
  • Ability to work both independently and collaboratively as part of a legal team.
  • Resilience under pressure, maintaining calm and focus during demanding situations
