Transition Service Agreement ManagerLocation: UK, LondonLength: 6 monthsRate: £701.20 per day (Umbrella)Hours: 36.5 per weekRole OverviewThe Transition Service Agreement (TSA) Manager is responsible for managing and overseeing all aspects of the Transition Service Agreement(s) following the completion of divestiture of our client's Media. This role ensures that all services agreed upon in the TSA are  delivered according to the agreed terms, timelines, and quality standards, while facilitating a smooth transition for the divesting entities. This role will be a key link between the retained Technology organisation and the our client's Media technology team ensuring business as usual activities and changes do not negatively impact our client's Media and ensuring the progress of the TSA.Key Areas/Job Responsibilities:TSA Implementation and Oversight:
  • Oversee the execution of the Transition Service Agreement, ensuring compliance with all terms and conditions
  • Coordinate with internal and external stakeholders to ensure that services are delivered as per the agreement
  • Manage TSA change and amendment due to our client's Media transformation, ensuring TSA remains serviceable and agreeing any amendments to operation
Stakeholder Management:
  • Major Incident Management impact and communication with our client's Media teams
  • Our client's technology Change Management impact and oversight
  • Serve as the primary point of contact for all TSA-related activities, both internally and with the counterparty
  • Liaise with business units, IT, HR, finance, legal, and other departments to ensure alignment and proper execution of TSA obligations
  • Facilitate regular communication and reporting with Leadership on TSA progress and issues
Risk Management and Issue Resolution:
  • Identify potential risks related to TSA execution and support mitigation strategies
  • Address and resolve any disputes or issues that arise during the TSA period, working with legal and other relevant departments as necessary
  • Ensure that any changes to the TSA are documented, agreed upon by all parties, and communicated effectively
Financial Management:
  • Track and manage costs associated with TSA services, ensuring they are in line with budget expectations
  • Review and approve invoicing related to TSA services, ensuring accuracy and compliance with the agreement
  • Provide financial reports and updates on TSA-related expenditures to relevant stakeholders
Service Delivery and Performance Monitoring:
  • Monitor the quality and performance of services provided under the TSA, ensuring they meet agreed-upon standards
  • Implement and track performance metrics and service level agreements (SLAs) to ensure the effectiveness of the transition
Documentation and Reporting:
  • Maintain documentation of all TSA-related activities, decisions, and communications
  • Prepare and deliver regular status reports on TSA progress to stakeholders, highlighting key achievements, risks, and issues
  • Ensure all TSA obligations are met by the end of the agreement term, and oversee the orderly handover or cessation of services
Closure and Post-TSA Activities:
  • Support post-transition reviews to assess the success of the TSA and identify lessons learned for future transactions
  • Ensure all final reporting, billing, and documentation are completed and archived appropriately
Qualifications:Experience:
  • Proven experience managing Transition Service Agreements in M&A transactions is essential
  • Experience in service delivery management, project management, transition management, or a related field
  • Experience working cross functionally both in project delivery and as part of incident response, root cause analysis and back to health plans and working within matrix organisations, directly with colleagues from both business and IT functions
Skills:
  • Strong service delivery and project management skills
  • Excellent communication and interpersonal skills, with the ability to influence and manage stakeholders at all levels
  • Strong financial acumen with experience in budget management and cost tracking
  • Ability to manage complex, multi-faceted projects with competing priorities
  • Strong problem-solving and decision-making abilities
  • Knowledge of contract management, risk management, and legal aspects of TSAs
