About the Role
As the Governance Officer, you will play a key role in ensuring compliance with the Club's rules, bye-laws, and governance framework. Working closely with Trustees, the Main Committee, sub-committees, and the Senior Leadership Team, you will provide expert advice on governance matters and support the smooth operation of the Club's governance structure.
This is a flexible role that can be either full-time or part-time, depending on the successful candidate's availability. It offers autonomy, professional development, and the chance to make a real impact on the running of an exclusive, world-class institution.
Key Responsibilities:
- Support and maintain the Club's governance framework, ensuring adherence to established rules and bye-laws.
- Keep up to date with relevant legislation and regulations and advise on compliance matters.
- Provide governance guidance to sub-committees, including drafting terms of reference, meeting procedures, and reporting requirements.
- Coordinate the election and appointment process for committee members, ensuring transparency.
- Plan, coordinate, and prepare agendas, board packs, and governance papers for key meetings.
- Attend meetings when required and produce accurate, concise minutes.
- Track and follow up on action points to ensure effective implementation.
- Maintain and update the governance section of the Club's website.

You will be a highly organised, proactive individual with strong attention to detail. You will possess excellent interpersonal skills and the ability to build relationships with senior stakeholders.
Key Skills & Experience:
- Strong organisational skills with the ability to prioritise and manage multiple tasks.
- Confidence in developing and building strong working relationships across various departments.
- Excellent IT skills (Microsoft 365: Teams, Word, Outlook, Excel, PowerPoint).
- Exceptional communication skills, with an emphasis on attention to detail and proofreading.
- Ability to work both independently and collaboratively in a flexible, adaptable manner.
- Previous experience in governance, compliance, or a secretariat role is desirable.
- Experience within a membership organisation, private members' club, or similar setting is beneficial but not essential.
