Robert Half is partnering with a boutique Real Estate Funding and Investment Platform based in London, offering ultra-high-net-worth individuals access to a diverse portfolio of property investments.

Role:

This person will take ownership of the Legal & Compliance function across the Group of companies, including structuring and executing real estate transactions, advising on regulatory compliance, and managing legal risks across the company's portfolio. This position requires a seasoned legal professional with extensive experience in real estate law, particularly within the private equity sector. Show strong commercial acumen and operational discipline in implementing and monitoring the function, through robust systems and controls to support business expansion in the UK and Globally.

Responsibilities:

Transaction Structuring and Execution:

  • Provide legal oversight and support for real estate acquisitions, dispositions, financing, and joint ventures.
  • Draft, review, and negotiate a wide range of real estate agreements, including sale and purchase agreements, leases, loan agreements, and joint venture agreements.
  • Conduct and coordinate due diligence efforts, including title and leasehold reviews, environmental assessments, and planning permissions.

Regulatory Compliance and Risk Management:

  • Ensure compliance with UK laws and regulations, including the Landlord and Tenant Act, Companies Act, planning law, and environmental regulations.
  • Develop and implement policies and procedures to manage legal risks and ensure best practices across the firm.
  • Monitor and advise on changes in relevant laws and regulations that may impact the firm's operations.
  • Identify, assess, and manage compliance risks.
  • Perform regular compliance risk assessments and recommend mitigation strategies.
  • Assist in the Annual ICARA Process
  • Conduct regular audits to ensure compliance with internal policies and external regulations.
  • Prepare and submit compliance reports to senior management and, if required, to regulatory bodies.
  • Implement new compliance tools and technologies to streamline processes.

Corporate Governance and Fund Management:

  • Advise on the formation and structuring of real estate investments and funds, including fund documentation, investor agreements, and compliance with the Financial Conduct Authority (FCA) regulations.
  • Assist in the management of investor relations, including the preparation of private placement memorandums, subscription agreements, and other investor-related documents.
  • Support the board of directors and executive team in governance matters, including corporate filings, board resolutions, and compliance with fiduciary duties.

General Legal Support:

  • Provide day-to-day legal advice to various departments within the firm, including asset management, finance, and human resources.
  • Review and negotiate vendor contracts, service agreements, and other operational contracts.
  • Support in-house legal initiatives, including training programmes and the development of legal templates and guidelines.

Requirements:

  • Attention to Detail: Crucial for identifying potential compliance issues and legal risks
  • Regulatory Knowledge: In-depth understanding of MiFID regulations and other relevant financial laws.
  • Background experience: Private Equity, Real Estate, Family Office.
  • Strong experience with FCA and legal councils, understanding real estate investments and funds.
