Role:
- Provide Company Secretarial support to the Group and it's subsidiaries
- Develop and maintain the Corporate Governance and Policy framework
- Ensure the group complies with its legal, regulatory and constitution obligations (include UK Corporate Governance Code, the PRA and the FCA)
- Manage the AGM - including the preparation of notices and resolutions
- Maintain statutory registers and filings annual returns
- Support the Chair and ensuring that the Board functions efficiently and effectively
- Arrange Board and Committee meetings
- Advise directors on their duties and ensure that they comply with corporate legislation and the articles of association of the company

Essential:
- Excellent knowledge of the UK Corporate Governance Code, the Companies Act 2006 and ideally the FCA and PRA
- Strong working background in a Company Secretarial role (ideally from a regulated sector)
- Outstanding stakeholder engagement and influencing skills
- Demonstrable experience of managing Board and Committee meetings
- CGI Qualified
- People management experience
