Description

The role holder will work day-to-day alongside another Senior Legal Counsel M&A on global M&A transactions (buy side) in supporting business expansion projects. You will provide comprehensive legal advice for all aspects of M&A transactions including:

  • Support, from a legal and project management standpoint, on all tasks and elements required across the full life cycle of all M&A transactions from the initial scoping stage right through to Post - Closing Integration matters.
  • drafting and reviewing transaction documents (including drafting and reviewing NDA's, LOI, Finders Fee Agreements and other agreements to support M&A activity),
  • assessing legal risks,
  • record keeping,
  • ensuring internal policies and procedures are followed.
  • assisting in relation to any queries related to any historical M&A and managing any claims which arise from historical M&A activity the group has conducted in the past.

You will also:

  • Manage relationship and engagement with external lawyers and other external advisors and service providers working on any M&A transactions.
  • Work closely with internal stakeholders such as Corporate Development, Tax, Finance teams to ensure efficient progression on M&A transactions to meet annual targets.

Profile

The successful applicant will be a Lawyer, qualified in the UK or another common law jurisdiction.

They will be likely to have at least 5 years of PQE.

Pre-requisite: Training in an international law firm with substantial experience in cross border M&A transactions through the full lifecycle of the deal.
